These Terms of Use (the “Agreement”) form a binding agreement between you and Direct Mail 2020, LLC (d/b/a Frintz®) (“Frintz®”) and govern your access to and use of the Frintz® websites, applications, and services (collectively, the “Frintz® service”). Please read this Agreement carefully before using the Frintz® service.

Acceptance and Changes:

By creating an account, submitting photos, placing an order, or otherwise using the Frintz® service, you agree to be bound by this Agreement. If you do not agree, please do not use the Frintz® service. We may update this Agreement from time to time; if we make material changes, we will notify you (for example, by email or in-app notice) before they take effect, and your continued use of the Frintz® service after that date constitutes acceptance of the updated Agreement.

Eligibility:

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Frintz® service or place an order. The Frintz® service is not directed to children under 13, and Frintz® does not knowingly collect personal information from children under 13; if we learn that we have, we will delete it.

Content:

As part of the Agreement, you promise that, with respect to any User Content you submit through the Frintz® app:

  1. you have the right to submit such User Content, and
  2. such User Content, or its use by Frintz® as contemplated by the Agreement, does not violate the Agreement, applicable law, or the intellectual property (including without limitation copyright), publicity, personality, or other rights of others or imply any affiliation with or endorsement of you or your User Content by Frintz® or any artist, entity or individual without express written consent from such individual or entity.

Frintz® may, but has no obligation to, monitor, review, or edit User Content. In all cases, Frintz® reserves the right to remove or disable access to any User Content for any or no reason, including but not limited to, User Content that, in Frintz®’s sole discretion, violates the Agreement. Frintz® may take these actions without prior notification to you or any third party. Removal or disabling of access to User Content shall be at our sole discretion, and we do not promise to remove or disable access to any specific User Content. 

You grant Frintz® a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (solely for formatting, such as cropping), analyze, and print your User Content for the sole purposes of providing and improving the Frintz® service, including selecting the ads included with your free Frintz® pictures. This license ends when your User Content is deleted from the Frintz® Platform, except as needed to complete orders you have already placed or as required by law.

You are solely responsible for all User Content that you submit. Frintz® is not responsible for User Content. YOU AGREE THAT IF ANYONE BRINGS A CLAIM AGAINST FRINTZ® RELATED TO USER CONTENT THAT YOU SUBMIT, THEN, TO THE EXTENT PERMISSBALE UNDER LOCAL LAW, YOU WILL INDEMNIFY AND HOLD FRINTZ® HARMLESS FROM AND AGAINST ALL DAMAGES, LOSSES, AND EXPENSES OF ANY KIND (INCLUDING REASONABLE ATTORNEY FEES AND COSTS) ARISING OUT OF SUCH CLAIM.

Copyright complaints:

If you believe content on the Frintz® service infringes your copyright, send a notice that complies with the Digital Millennium Copyright Act to our designated agent at team@frintz.com. Frintz® responds to valid notices, including by removing the identified content, and may terminate the accounts of repeat infringers. 

Software License:

The Frintz® software applications are licensed, not sold, to you, and Frintz® and its licensors retain ownership of all Frintz® software applications and content even after installation on your personal devices.

All Frintz® trademarks, service marks, trade names, logos, domain names, and other features of the Frintz® brand are the sole property of Frintz® and/or its licensors. The Agreement does not grant you any rights to use any Frintz® Brand Features whether commercial or non-commercial use. 

Third Parties:

The Frintz® service is integrated with third-party applications, websites, and services (“Third-Party Applications”) to make available content and services to you. These Third-Party Applications may have their own terms and conditions of use and privacy policies and your use of these Third-Party Applications will be governed by and subject to such terms and conditions and privacy policies. You understand and agree that Frintz® does not endorse and is not responsible or liable for the behavior, features, or content of any 3rd-Party Application.

Service Limitation:

Frintz® will make reasonable efforts to keep the Frintz® service operational. However, certain technical difficulties or maintenance may result in interruptions. Frintz® reserves the right at any time to modify, discontinue, temporarily or permanently, functions and features of the Frintz® service, with or without notice, all without liability to you.

Disclaimer of Warranties; Limitation of Liability:

THE FRINTZ® SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRINTZ®’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE FRINTZ® SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID FRINTZ® IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR FIFTY U.S. DOLLARS ($50), AND FRINTZ® WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

Termination:

You may stop using the Frintz® service or delete your account at any time. Frintz® may suspend or terminate your account or access to the Frintz® service if you violate the Agreement, if the law requires, or if Frintz® discontinues the service. Sections that by their nature should survive — including your responsibility for User Content, indemnification, disclaimers, and limitations of liability — survive termination.

Data Use:

We do not sell your personal data to advertisers, and we don’t share information that directly identifies you (such as your name, email address or other contact information) with advertisers unless you give us specific permission. Instead, advertisers can tell us things like the kind of audience they want to see their ads, and we show those ads to people who may be interested. We provide advertisers with reports about the performance of their ads that help them understand how people are interacting with the ads placed within their packet of pictures.

Our Data Policy (found directly below) explains how we collect and use your personal data to determine some of the ads you see and provide all of the other services described below.

Data Policy

This policy describes the information and data Frintz® processes in support of the Frintz® Platform which provides you with free Frintz® pictures.

Why Frintz® has a Data Policy:

To provide Frintz® customers with free pictures, Frintz® must process some information – Data about you. The types of information Frintz® collects depend on how you use Frintz® and what you either choose to, or not to, share with us.

The Frintz® Golden Data Rule:

First, and most importantly:

WE WILL NEVER SELL YOUR PICTURES OR SHARE THEM WITH ADVERTISERS. WE SHARE YOUR PICTURES ONLY WITH YOU, WITH THOSE YOU CHOOSE TO SHARE THEM WITH, WITH SERVICE PROVIDERS WHO PRINT AND DELIVER THEM ON OUR BEHALF, AND WHERE THE LAW REQUIRES IT (AS DESCRIBED IN “HOW DOES FRINTZ® RESPOND TO LEGAL REQUESTS OR PREVENT HARM?”).

We do analyze your pictures ourselves to choose which ads to include with your packet — but advertisers never see your pictures or learn who you are.

How does Frintz® gather data?:

  • Information and content you provide: The Frintz® Platform collects the content and other information that you provide to us when you use Frintz®, including when you sign up for an account, upload content and place an order. This can include information within or about the content you provide (like metadata), such as the location of a photo, the settings of your camera, the date a file was created, etcetera. Our systems automatically process content and communications you provide to analyze context and what’s in them for the purposes described below. For example, if you upload a photo of a dog, our systems may recognize that and use it to select pet-related offers for your packet of pictures. We do not use this analysis to identify you or the people in your photos, and we do not draw inferences about sensitive characteristics (such as race, religion, health, or sexual orientation) for advertising purposes.
  • Your usage: The Frintz® Platform collects information about how you use Frintz, such as the features you use; the actions you take; and the time and frequency of your activities. For example, Frintz® logs when you last placed an order and the time of that order. The Frintz® platform also collects information about how you use features like our cropping tool.
  • Your Device Information: As described below, Frintz® collects information from and about the computers, phones and potentially other web-connected devices you use that integrate with Frintz®. Information Frintz® obtains from these devices includes:
    • Device attributes: information such as the operating system, hardware and software versions, battery level, signal strength, available storage space, browser type, app and file names and types, and plugins in order to make Frintz® a better platform for you use.
    • Device operations: information about operations and behaviors performed on the device, such as whether a window is foregrounded or backgrounded, or mouse movements (which can help distinguish humans from bots).
    • Identifiers: unique identifiers, device IDs (what you call your device for example).
    • Device signals: Bluetooth signals and information about nearby Wi-Fi access points, beacons, and cell towers, only where a feature you use requires it and only to provide that feature.
    • Data from device settings: information you allow us to receive through device settings you turn on, such as access to your GPS location, camera or photos.
    • Network and connections: information such as the name of your mobile operator or ISP, language, time zone, mobile phone number, IP address, connection speed.
    • Information from partners: Partners receive your data and when third parties’ work with Frintz®, Frintz requires each of these partners to have lawful rights to collect, use and share your data before providing any data to us. For example, Frintz® uses a third party to validate your address, but they will not have, nor store your data.  Such a third partysometimes enhances the data that you provided in order to ensure your free Frintz® pictures are delivered.

How does Frintz® use data about you?

Frintz® uses the information we have as described below and to provide support for the Frintz® Platform. Here’s how:

  • To provide, personalize and improve Frintz®: Frintz® uses the information we have to deliver the Frintz® Experience, including to personalize features and content (including the ads that will be included with your Frintz® free picures). To create personalized Frintz® experience that is unique and relevant to you, Frintz® uses your profile, preferences, interests and activities based on the data Frintz® collects and learn from you.
  • To do product research and development: Frintz® uses the information we have to develop, test and improve Frintz®, including by conducting surveys, research, testing and troubleshooting new products and features.
  • To select ads and other sponsored content: Frintz® uses the information we have about you, including information about your interests and actions, and interests inferred from automated analysis of the photos you upload, to select and personalize ads, offers and other sponsored content that Frintz® shows you within your packet of pictures.
  • To provide measurement, analytics, and other business services: Frintz® uses the information we gather (including your interactions with Frintz®) to help advertisers and other partners measure the effectiveness and distribution of their ads and services, and understand the types of people who use their services and how people interact with their websites, apps, and services.
  • To promote safety, integrity and security: Frintz® uses the information we have to verify accounts and activity, to combat harmful conduct, to detect and prevent other bad experiences, to maintain the integrity of Frintz®, and promote safety and security on and off the Frintz® platform. For example, Frintz® uses data we have to investigate suspicious activity or violations of our terms or policies, or to detect when someone needs help.
  • To communicate with you: Frintz® uses the information we have to send you marketing communications, , to let you know about our policies and terms, and to otherwise communicate with you. Frintz® also uses your information to respond to you when you contact us.
  • To law enforcement or on legal requests: Frintz® will share information with law enforcement or in response to legal requests in the circumstances outlined below in the section titled: “How does Frintz respond to legal requests or prevent harm?”

How and when does Frintz® share this information?

Your information is shared with others in the following ways:

  • To partners who use our analytics services: Frintz® provides aggregated statistics and insights that help people and businesses understand how people are engaging with their ads on Frintz®.
  • To advertisers & Sponsors: Frintz® provides advertisers with reports about the kinds of people seeing their ads and how their ads are performing. For example, Frintz® provides general demographic and interest information to advertisers  to help them better understand their audience.
  • To measurement partners: Frintz® shares information about you with companies that aggregate it to provide analytics and measurement reports to our partners.
  • To vendors and service providers: Frintz® provides information and content to vendors and service providers who help support Frintz®, such as by providing technical infrastructure services, analyzing how our Frintz® is used, providing customer service, or facilitating delivery to you.
  • To researchers and academics: Frintz® may provide information and content to research partners and academics to conduct research that advances scholarship and innovation that support our business or mission, and enhances discovery and innovation on topics of general social welfare, technological advancement, public interest, health and well-being.

How long does Frintz® store its (and your) data:

Frintz® stores data until it is no longer necessary to provide our services on the Frintz® Platform, or until your account is deleted – whichever comes first. This is a case-by-case determination that depends on things like the nature of the data, why it is collected and processed, and relevant legal or operational retention needs.

What happens when you delete your account:

Once you delete your account, Frintz® deletes your pictures and you won’t be able to recover that information later. To delete your account at any time, please visit your profile settings within the Frintz® App.

Your privacy rights:

Depending on where you live, you may have the right to access, correct, delete, or receive a copy of your personal data, and to opt out of targeted advertising or the “sale” or “sharing” of personal data as those terms are defined by applicable law. You can exercise these rights in your profile settings or by contacting us at team@frintz.com; we will not discriminate against you for doing so, and where the law provides, you may appeal our decision by replying to our response. We also honor recognized universal opt-out signals where required by law.

How does Frintz® respond to legal requests or prevent harm?

Frintz® accesses, preserves and shares your information with regulators, law enforcement or others:

  • Law Enforcement: In response to a legal request (like a search warrant, court order or subpoena) if Frintz® has a good faith belief that the law requires us to do so. This may include responding to legal requests from jurisdictions outside of the United States when Frintz® has a good-faith belief that the response is required by law in that jurisdiction, affects users in that jurisdiction, and is consistent with internationally recognized standards.
  • When Frintz® has a good-faith belief it is necessary to: detect, prevent and address fraud, unauthorized use of Frintz®, violations of our terms or policies, or other harmful or illegal activity; to protect ourselves (including our rights, property or Frintz® itself), you or others, including as part of investigations or regulatory inquiries; or to prevent death or imminent bodily harm. For example, if relevant, Frintz® will provide information to and receive information from third-party partners about the reliability of your account to prevent fraud, abuse and other harmful activity on and off the Frintz® Platform. Information Frintz® receives about you can be accessed and preserved for an extended period when it is the subject of a legal request or obligation, governmental investigation, or investigations of possible violations of our terms or policies, or otherwise to prevent harm. Frintz® also retains information from accounts disabled for terms violations for at least a year to prevent repeat abuse or other term violations.
  • Governing Law and Disputes: This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Agreement or the Frintz® service will be resolved exclusively in the state or federal courts located in Monroe County, New York, and you and Frintz® consent to their jurisdiction.
